DESCRIPTION

Corporate Governance

ALF have extensive experience in guiding clients to enhance their corporate governance including environmental, social and governance (ESG) disclosure requirements from investors and regulators. ALF team members have obtained PhDs on corporate governance from prestigious universities and published articles on this subject in Arabic and English. They have contributed to the development of governance in several public and private companies, including the Development Fund and Libyan Public Telecommunication companies, and helped them to develop robust governance structures. They have also contributed to the development of financial and commercial legislation in Libya. We maintain continuous contact with regulators in Libya, ensuring that we remain on top of corporate governance requirements.

We regularly provide a legal counsel for boards, board committees, corporate clients, directors and individual officers. We collaborate with them to address the full range of corporate governance matters which include :

  • Requirements related to membership and board structure, board meetings, duties and responsibilities of board members, remuneration, and conflicts of interest issues.
  • Internal controls, audit, external control measures, and committee functions.
  • The best practice of governance and delegation of duties.
  • Shareholders’ equity.
  • Disclosure and transparency requirements.
  • Basic administrative requirements.
  • Relationships between holding companies and their subsidiaries (foreign and domestic).
  • Defining the obligations of managers and employees under Libyan laws and regulations.
  • The relationship between the shareholders and members of the board of directors.
  • The relationship between the company and its stakeholders.

Our team can advise our clients on developing compliance programs for corporate governance. We can provide regular advice on when to use different forms of entities and how to design governance structures for those entities. We can also help our clients in company restructuring, from recapitalization to reorganization and rationalization of departments and subsidiaries.
